Terms of Use
Effective date: April 20, 2026
1. Introduction and Acceptance
Welcome to Stacked Markets ("Stacked Markets," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, platform, interface, and all related services (collectively, the "Interface" or "Services").
By accessing or using the Interface in any way, you represent that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Interface.
Stacked Markets is not yet incorporated. These Terms constitute a binding legal agreement between you and the operators of the Stacked Markets platform.
2. Description of Services
Stacked Markets provides a front-end interface that routes user trading activity to Hyperliquid, a third-party decentralised Layer-1 blockchain and perpetuals exchange. We do not operate or control the Hyperliquid protocol, smart contracts, or order books. We are an interface layer that:
- Connects your wallet to the Hyperliquid protocol.
- Displays relevant market data sourced from Hyperliquid and third parties.
- Facilitates the submission of trade instructions to the Hyperliquid protocol on your behalf.
- Charges a service fee for use of the Interface.
All trades, settlements, and custody of assets occur entirely on-chain through the Hyperliquid protocol. Stacked Markets does not at any time hold, custody, control, or take possession of your digital assets. You retain full ownership and responsibility for your assets at all times.
3. Eligibility and Restricted Jurisdictions
3.1 Eligibility
To use the Interface, you must:
- Be at least 18 years of age, or the legal age of majority in your jurisdiction, whichever is greater.
- Have the legal capacity to enter into a binding agreement.
- Not be subject to any sanctions or restricted party lists.
- Not be located in, resident of, or incorporated in a Restricted Jurisdiction as defined below.
3.2 Restricted Jurisdictions
Access to and use of the Interface is strictly prohibited for any person or entity that is located in, resident of, incorporated in, or a citizen of any of the following jurisdictions, each a "Restricted Jurisdiction":
- United States of America, including all US states, territories, and possessions. This restriction applies regardless of your citizenship or nationality.
- Canada, Province of Ontario. Access is prohibited for individuals and entities resident in or operating from Ontario.
- Any jurisdiction subject to comprehensive economic sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Russia where sanctions apply, and the Crimea, Donetsk, and Luhansk regions.
- Any other jurisdiction where the use of the Interface or digital asset trading is prohibited or restricted by applicable law.
By using the Interface, you represent and warrant that you are not located in, resident of, or incorporated in any Restricted Jurisdiction. This representation is made each time you access the Interface.
3.3 Geographic Enforcement
We may implement technical measures to restrict access from Restricted Jurisdictions, including IP-based geo-blocking. However, you acknowledge that such measures are not foolproof and that your obligation to comply with these restrictions exists independently of any technical measures we implement.
3.4 Prohibited Circumvention
You must not use virtual private networks (VPNs), proxy services, or any other method to disguise your geographic location in order to access the Interface from a Restricted Jurisdiction. Any such circumvention is a material breach of these Terms.
4. Fees
Stacked Markets charges a service fee for use of the Interface. Fees are disclosed within the Interface prior to trade execution. By submitting a trade instruction, you agree to pay the applicable fee. Fees are non-refundable once a transaction has been submitted to the Hyperliquid protocol.
In addition to Stacked Markets' fees, you may incur fees charged directly by the Hyperliquid protocol. These are separate from our fees and are outside our control.
5. Non-Custodial and No-KYC Nature of the Interface
Stacked Markets is a non-custodial platform. We do not:
- Hold, receive, or control your digital assets at any time.
- Operate a centralised order book.
- Act as a counterparty to your trades.
- Require identity verification as a condition of access.
The absence of KYC does not relieve you of your obligations under applicable law, including tax reporting obligations and compliance with sanctions laws in your jurisdiction. You are solely responsible for determining and fulfilling any legal obligations arising from your use of the Interface.
6. Risk Disclosure
You acknowledge and accept the following risks, among others:
- Digital asset trading is highly speculative and involves a substantial risk of loss, including the total loss of invested capital.
- The use of leverage amplifies both gains and losses. You may lose more than your initial margin.
- The Hyperliquid protocol and associated smart contracts may contain bugs, vulnerabilities, or be subject to exploits.
- Blockchain networks may experience congestion, forks, or outages that affect your ability to trade or withdraw assets.
- Regulatory changes in your jurisdiction may affect the legality or availability of digital asset trading.
- The value of digital assets is highly volatile and may decline rapidly.
- Stacked Markets may become unavailable, be discontinued, or be modified at any time without notice.
You are solely responsible for conducting your own due diligence and assessing whether use of the Interface is appropriate for your financial situation, risk tolerance, and objectives. Nothing on the Interface constitutes financial, investment, legal, or tax advice.
7. Prohibited Conduct
You agree that you will not:
- Use the Interface if you are located in or a resident of a Restricted Jurisdiction.
- Use a VPN, proxy, or other technology to circumvent geographic restrictions.
- Engage in market manipulation, wash trading, front-running, or any other deceptive trading practices.
- Use the Interface for money laundering, terrorist financing, or any other unlawful purpose.
- Attempt to reverse engineer, decompile, or disassemble any part of the Interface.
- Introduce malware, viruses, or other harmful code.
- Engage in any activity that disrupts, overloads, or impairs the Interface or its underlying infrastructure.
- Violate any applicable law or regulation in connection with your use of the Interface.
8. Third-Party Protocols and Links
The Interface integrates with and routes transactions through the Hyperliquid protocol. Stacked Markets does not control, endorse, or assume any responsibility for the Hyperliquid protocol, its smart contracts, or any other third-party service. Your use of third-party protocols is at your own risk and subject to those parties' own terms and conditions.
9. Intellectual Property
All content, design, code, trademarks, and other materials forming part of the Interface are the property of Stacked Markets or our licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Interface for personal, non-commercial purposes. You must not reproduce, distribute, modify, or create derivative works of any part of the Interface without our prior written consent.
10. Disclaimers
THE INTERFACE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STACKED MARKETS EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that the Interface will be available at any particular time, that information displayed on the Interface is accurate or complete, or that any trade will be executed at the price displayed.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STACKED MARKETS AND ITS OPERATORS, AFFILIATES, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE INTERFACE, INCLUDING ANY LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF DIGITAL ASSETS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not permit the exclusion or limitation of liability, our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Stacked Markets and its operators, affiliates, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Your use of the Interface.
- Your breach of these Terms.
- Your violation of any applicable law.
- Your violation of any third party's rights.
13. Modifications to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will update the effective date at the top of this document. Your continued use of the Interface following any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly.
14. Termination and Suspension
We may, at our sole discretion and without notice, restrict, suspend, or terminate your access to the Interface at any time and for any reason, including if we believe you have breached these Terms or are accessing the Interface from a Restricted Jurisdiction. Termination does not affect any on-chain positions you may hold, which remain subject to the Hyperliquid protocol.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of a jurisdiction to be determined upon Stacked Markets' incorporation. Until that time, any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in accordance with internationally recognised arbitration rules.
You waive any right to participate in any class action lawsuit or class-wide arbitration in connection with these Terms or your use of the Interface.
16. Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stacked Markets with respect to the Interface and supersede all prior agreements and understandings.
